    4. Be familiar with KFKF products, merchandise, and services.

    6. Have knowledge or ability to contribute to the developing KFKF multiverse (through areas such as audience, style, content, creativity, etc.).
    7. Not promote content that is offensive, discriminatory, illegal, or otherwise harmful. We reserve the right to approve or reject any Ambassador application at our sole discretion.


    PERFORMANCE OF SERVICES
    1. Must tag @kindafitkindafat_apparel on Your Instagram bio along with your support code.
    2. Minimum of two (2) Instagram posts (carousel or post) per month featuring Kinda Fit Kinda Fat products with @kindafitkindafat_apparel tagged in both the image and caption, along with an organic mention of Your support code and/or link.
    3. Minimum of three (3) Instagram stories per month featuring Kinda Fit Kinda Fat product and tagging @kindafitkindafat_apparel on screen, including a link to the website and your support code.
    4. Minimum of one (1) short-form video per month (Instagram Reels, TikTok Video, YouTube Shorts) clearly featuring Kinda Fit Kinda Fat clothing and tagging @kindafitkindafat_apparel in the caption.
    5. Engage with Kinda Fit Kinda Fat social media posts (including but not limited to: posts, reels, carousels, stories, Tiktok, etc. )

    KINDA FIT KINDA FAT AMBASSADOR AGREEMENT

    THIS IS A LEGAL AGREEMENT BETWEEN YOU AND KINDA FIT KINDA FAT, LLC. BY SUBMITTING THE ONLINE APPLICATION, YOU ARE AGREEING THAT YOU HAVE READ AND UNDERSTAND THE TERMS AND CONDITIONS OF THIS AGREEMENT AND THAT YOU AGREE TO BE LEGALLY RESPONSIBLE FOR EACH AND EVERY TERM AND CONDITION IF APPLICATION IS APPROVED.

    These terms constitute a legal agreement between Brand Ambassador ("You/Your"/"Ambassador") and KINDA FIT KINDA FAT, LLC ("Our/We"/"Company"/"KFKF").


    Eligibility

    To be eligible to be considered for the Ambassador program, you must:

    • Be at least 18 years of age and live in the United States.

    • Have working knowledge of social media platforms and operate a website, social media account, or other marketing channel that aligns with our brand values.

    • Be in alignment with KFKF mission, brand identity, and culture as outlined by the official KFKF Brand Guide.

    • Be familiar with KFKF products, merchandise, and services.

    • Have proven support for the KFKF brand, brand identity, and brand culture.

    • Have knowledge or ability to contribute to the developing KFKF multiverse (through areas such as audience, style, content, creativity, etc.).

    • Not promote content that is offensive, discriminatory, illegal, or otherwise harmful. We reserve the right to approve or reject any Ambassador application at our sole discretion.

    Ambassador Responsibilities

    • Promotion: Ambassador is responsible for promoting our products/services using approved materials.

    • Compliance: Ambassador must adhere to all applicable laws, including but not limited to FTC guidelines for endorsements.

    • Accurate Representation: Ambassador must not make false claims, use misleading promotions, or misrepresent our products/services.

    Performance of Services

    The Brand Ambassador agrees to:

    • Tag @kindafitkindafat_apparel on Your Instagram bio along with your support code. (Applies to other social platforms and Linktree)

    • Ambassador Content Requirements and Obligations:

      • Minimum of two (2) Instagram posts (carousel or single image) per month featuring Kinda Fit Kinda Fat products with @kindafitkindafat_apparel tagged in both the image/video and caption, along with an organic mention of Your support code and/or link in the caption

      • Minimum of one (1) short-form video per month (posted onto Instagram Reels, TikTok Video, YouTube Shorts) clearly featuring Kinda Fit Kinda Fat clothing and tagging @kindafitkindafat_apparel in the caption and reel (if applicable).

      • Minimum of three (3) Instagram stories per month featuring Kinda Fit Kinda Fat product and tagging @kindafitkindafat_apparel on screen, including a link to the website and your support code. 

      • Ambassador has opportunity to collaborate on content and posts with Kinda Fit Kinda Fat's social accounts. Kinda Fit Kinda Fat has the right to approve or deny requests. Collaborative posts can not contain Ambassador's support code.

      • Engage with KFKF's social media posts including but not limited to: liking the post, commenting, reposting to your feed, sharing to your story, and more.

      • Wear official KFKF branded apparel, KFKF accessories, and other products produced by KFKF (“KFKF Products”) provided to them by KFKF in order to promote the KFKF brand

      • Properly tag KFKF when depicting KFKF with KFKF Product/s or promoting brand/products for all photos and videos posted by Brand Ambassador. Brand Ambassador agrees to tag the official KFKF branded accounts in their posts, stories or videos

      • For the duration of this Agreement, Brand Ambassador agrees to provide inclusion of KFKF social media and/or website links in the biography/description/linktree section of all of Brand Ambassador’s active social media.

      • Brand Ambassador hereby consents to and authorizes KFKF, at KFKF’s discretion, to post photographs and videos depicting, wearing or otherwise promoting the KFKF brand and KFKF Products on KFKF’s social media accounts, including but not limited to Advertisements, Commercials, Instagram, Facebook, Twitter, TikTok, YouTube, Email, SMS and KFKF’s website www.kindafitkindafat.com

    Kinda Fit Kinda Fat agrees to:

    • To provide the Ambassador with a unique code that each prospective customer will use on the website, www.kindafitkindafat.com. The prospective customer must input said code into the “Discount” field on the checkout page BEFORE checking out online at www.kindafitkindafat.com. The unique code will provide the prospective customer with 10% off all orders placed on www.kindafitkindfat.com. No unique codes can be added to the order AFTER the order has been submitted on kindafitkindafat.com.

    • KFKF will provide the brand ambassador with a starting package of official KFKF apparel and accessories ("Promotional Merch") for the brand ambassador to wear and promote with a total Value up to $200. Any additional items are at the discretion of KFKF.

    Provision of Promotional Merch

    Kinda Fit Kinda Fat may, at its sole discretion, provide Ambassador with complimentary products (“PR Merchandise”) for promotional and content creation purposes under this Agreement.

    • PR Merchandise will be provided according to the following schedule. Initial Package: Sent within 45 days of Agreement execution. KFKF reserves the right to modify the gifting schedule with reasonable notice.

    • Ongoing Shipments: Ambassador will get quarterly shipments, subject to PR Merchandise product availability and Ambassador Performance (Minimum posting requirements, conversions made through support code, etc.). Frequency may increase with higher performance and conversions at the discretion of KFKF.

    • Campaign-Based Gifting: Additional PR Merchandise may be provided in connection with specific campaigns.

    • KFKF is not obligated to continue providing PR Merchandise and may suspend or discontinue gifting at its discretion, including but not limited to failure to meet content requirements.

    • Ownership & Use of PR Merchandise provided becomes the property of Ambassador upon delivery and may not be resold.

    Personal Use Discount Code

    • Company shall provide Ambassador with a unique discount code (“Personal Use Code”) intended solely for the Ambassador's individual, non-commercial purchases from Company’s website.

    • Personal Use Code May only be used by Ambassador for personal purchases. May not be shared, published, promoted, distributed, or disclose to any third party. May not be used in connection with resale, bulk purchasing, giveaways, or any commercial activity.

    • Discount Terms: The Personal Use Code shall provide a discount of 25% off eligible products, subject to the following conditions: Excludes sale items, limited releases, bundles, gift cards, and/or other restricted products as determined by Company. Cannot be combined with other promotional offers unless expressly authorized. Subject to stock availability.

    • Monitoring & Misuse: Company reserves the right to monitor usage of the Personal Use Code. If Company determines, in its sole discretion, that the code has been misused or shared, Company may: Immediately deactivate the code; Revoke Ambassador's eligibility for future discounts; and/or Terminate this Agreement for material breach.

    Media and Imagery

    • Ambassador grants KFKF a perpetual, royalty-free, and non-exclusive right to use, modify, distribute, and display any media created as part of this agreement.

    • Brand Ambassador hereby consents to and authorizes KFKF, at KFKF’s discretion, to post photographs and videos depicting the Brand Ambassador wearing or otherwise promoting the KFKF brand and KFKF Products on KFKF’s social media accounts, including Instagram, Facebook, Twitter, YouTube, advertisements/paid media, commercials, and KFKF’s website www.kindafitkindafat.com

    • If the Ambassador increases their brand value and/or terminates the contract, KFKF reserves the right to retroactively use their image to promote products and services. Current imagery may also be used for promotional purposes if referencing content or an achievement relating to the KFKF brand.

    • All blog posts, social media statuses, tweets, photos, stories and/or comments (collectively, “Media Content”) must be free of any content promoting bigotry, racism and/or discrimination based on race, gender, religion, nationality, disability, sexual orientation, age, or any other readily identifiable metric, as designated by Company in its exclusive discretion. All Media Content must be in compliance with all applicable laws in the jurisdiction in which it is published. The Brand Ambassador shall not publish or communicate any messages and/or images reasonably likely to result in reputational harm to KFKF. Brand Ambassador further agrees to abide by the rules of the relevant social media platform(s) on which said Media Content is posted. Upon KFKF's request, Brand Ambassador shall immediately remove, suspend, modify, or make clarifying statements concerning any Media Content that violates this Section, and cease all future promotion until further notice.

    • Brand Ambassador understands that all promotions and/or products he/she/they promote as part of this Agreement are to be controlled by KFKF. The Brand Ambassador assumes all responsibility for verifying that the campaign material generated by the Brand Ambassador as part of the Services meets KFKF's pre-established guidelines and is approved in form and content prior to publication. Brand Ambassador agrees to immediately remove from all platforms any Media Content at KFKF’s request, even after the termination of this Agreement. Brand Ambassador understands that improper media messaging may cause Company significant reputational harm, and that damages resulting from such harm may be difficult to ascertain. As such, Company shall be entitled to liquidated damages per violation of this Section, as an approximation of Company’s damages and not as a penalty, or, alternatively, actual damages, whichever is greater.

    Commission Rate & Payment Schedule

    • KFKF agrees to pay Ambassador 10% of net sales (after taxes and discounts) generated using their unique code.

    • Payments for commission will be processed once per month through United Payments after approved conversions have finished the 30-day cycle.

    • Ambassador may not post their code on any coupon sites and any sales made through those platforms will not count towards commission payment. Doing so will result in termination of Ambassador contract and may incur additional fines.

    Independent Contractor Status

    • The Ambassador is an independent contractor, not an employee of KFKF.

    • The Ambassador is responsible for all personal taxes and obligations. Kinda Fit Kinda Fat will issue a 1099-NEC or 1042-S form for any Ambassador who earned more than $600 through Unified Payments during the prior fiscal year.

    • The parties agree that for all purposes, “Brand Ambassador” shall be classified as and considered as an independent contractor under California law. This Agreement shall not be construed to create any association, partnership, joint venture, employment, or agency relationship between the parties for any purpose. “Brand Ambassador” shall have no authority (and shall not hold him/herself/themselves out as possessing the authority) to bind KFKF or make any agreements or representations on KFKF’s behalf without KFKF’s prior written consent. The parties acknowledge and agree that the Services to be performed by “Brand Ambassador” hereunder are outside the usual course of KFKF's business. “Brand Ambassador” further acknowledges and asserts that he/she/they is customarily engaged in an independently established trade, occupation, or business of the same nature as the services to be performed. “Brand Ambassador” shall not be eligible to participate in any vacation, group medical or life insurance, disability, profit sharing arrangement, or any other fringe benefits plans offered by the Company to its employees. The Brand Ambassador shall not be entitled to any other company benefits, coverages or privileges, including, without limitation, health insurance, social security, unemployment, medical or pension payments , made available to employees of KFKF. The Brand Ambassador shall use his/her/their own equipment, tools and materials to perform services outlined in this agreement. KFKF will have no control over how the services are performed on a day-to-day basis. KFKF will not provide any training. This Agreement does not constitute an employment, partnership, joint venture or agency between the parties hereto, nor shall either of the parties hold itself out as such contrary to the terms hereof by advertising or otherwise nor shall either of the parties become bound or become liable because of any representation, action or omission of the other.

    • Taxes and Expenses

      • The Brand Ambassador shall be solely responsible for any personal taxes, penalties, and payment obligations due. If Brand Ambassador earns more than $600 during the prior fiscal year, they will be issued an IRS Form 1099-MISC through United Payments for all compensable Services, and Brand Ambassador shall be solely responsible and liable for all federal, state, and local taxes associated therewith.

    Termination Clause

    • KFKF reserves the right to terminate this agreement at its sole discretion under the following conditions:

      • If the Ambassador fails to meet content requirements.

      • If the Ambassador engages in behavior that damages the reputation of KFKF.

      • If the Ambassador violates any terms outlined in this agreement.

    • This agreement shall commence from the date this agreement is signed by both parties and shall continue until the scope of work defined in Performance of Services of this agreement is completed or if any of the following terms for early termination are satisfied. Such period, as it may be extended or sooner terminated shall be referred to as the Service Period. Either party may terminate this Agreement at any time in the event of a material breach by the other party that has not been cured with written notice of breach to the other party and a reasonable opportunity to cure. KFKF maintains the right to immediately suspend, limit and/or terminate this Agreement and the brand ambassador’s access to any Brand accounts and/or instruct the “brand ambassador” to make clarifying statements and/or cease all promotional activities for KFKF at any given time at the discretion of KFKF even if no material breach has occurred. The brand ambassador shall immediately act in accordance with KFKF and submit written notice of this termination of agreement and the Ambassador will forfeit all benefits provided by KFKF and terminate any affiliation with KFKF. Upon early termination of this Agreement, KFKF will allow payment to brand ambassador of the remainder of their due balance at terminat

    Force Majeure

    • Neither party shall be liable for failure to perform obligations under this agreement due to acts of God, war, natural disasters, government regulations, pandemics, or social media platform restrictions.

    Dispute Resolution & Governing Law

    • Any disputes arising under this agreement shall first be resolved through mediation before proceeding to litigation.

    • This agreement shall be governed by the laws of the State of California, and any legal proceedings shall be conducted within the state.

    Duration Term

    • This agreement is effective until December 31, 2026, with the option for renewal at KFKF's discretion.

    Indemnification

    • The Brand Ambassador shall be solely liable for, and shall indemnify, defend and hold harmless KFKF and its successors and assigns from any claims, suits, judgments or causes of action initiated by any third party against KFKF where such actions result from or arise out of the services performed by the Brand Ambassador under this Agreement. The Brand Ambassador shall further be solely liable for, and shall indemnify, defend and hold harmless KFKF and its successors and assigns from and against any claim or liability of any kind (including penalties, fees or charges) resulting from the Brand Ambassador’s failure to pay the taxes, penalties, and payments referenced in Section VIII of this Agreement. The Brand Ambassador shall further indemnify, defend and hold harmless KFKF and its successors and assigns from and against any and all loss or damage resulting from any misrepresentation, or any non-fulfillment of any representation, responsibility, covenant or agreement on its part, as well as any and all acts, suits, proceedings, demands, assessments, penalties, judgments of or against KFKF relating to or arising out of the activities of the Brand Ambassador or its Employees and the Brand Ambassador shall pay reasonable attorneys’ fees, costs and expenses incident thereto.

    Compliance

    In publishing any Media Content (including endorsements and other promotional efforts), Brand Ambassador shall comply with all applicable federal, state, and site-specific laws, rules, regulations, and policies, including, but not limited to, applicable Federal Trade Commission (FTC) guidelines relating to social media promotion. In publishing and maintaining the Media Content, Brand Ambassador shall specifically comply with the following rules concerning consumer protection disclosures:

    • A. Post all disclosures in a conspicuous place and manner where they are likely to be seen by the consumer, such as embedded within the post (and not solely on an “About Me” or profile page, at the end of posts or videos, or any other place where the consumer is required to click to view additional information about the publication).

    • B. Do not mix disclosure language with groups of links or hashtags, or in any other manner likely to obscure the disclosure.

    • C. Superimpose disclosure language on any visual publication (e.g. photos and videos) sufficient for the ordinary consumer to view and understand the disclosure. Disclosures should be in the Media Content itself, and not just in the comments or description section of the media. Make all disclosures in audio and visual formats.

    • D. If publishing content in the form of a live stream, the disclosure should be repeated periodically, so consumers who only see part of the stream are likely to receive the disclosure.

    • E. Use simple, clear, and concise language when making any consumer disclosure.

    • F. All disclosures shall be given in the same language as the publication.

    • G. Do not assume a platform’s disclosure tools or language is sufficient to meet your compliance responsibilities. Where appropriate, supplement platform disclosures with your own disclosure language.

    • H. Do not publish information about a product experience if you have not personally tested or experienced such a product.

    • I. Your reviews and impressions of any product for which you were paid to give a testimonial or endorsement must be honest and accurate.

    • J. You cannot make claims about any product that would require proof the advertiser would be unable to provide the customer.

    • K. Regularly consult the FTC rules on endorsements and related activity by visiting FTC.gov/influencers and incorporating that guidance into your Services.

    • L. Do not post any content that might reasonably cause the Company to suffer reputational harm, including content containing slander, or offensive or insensitive language.

    Assignment

    Neither party may assign or transfer this Agreement in whole or in part, nor any of the rights hereunder, without prior written consent of the other party.

    Proprietary Information

    • The Ambassador acknowledges that they may have access to confidential and proprietary information about KFKF. They shall not disclose any proprietary information to any third party without prior written approval from an authorized KFKF representative.

    • The Brand Ambassador acknowledges that the contract's relationship with the KFKF is one of high trust and confidence and that in the course of Brand Ambassador service to KFKF, Brand Ambassadors will have access to and contact with proprietary information. The Brand Ambassador will not disclose any proprietary information to any person or entity other than employees of KFKF or use the same for any purposes (other than in the performance of the services) without written approval by an officer of KFKF, either during or after the consultation period, unless and until such proprietary information has become public knowledge without fault by the Brand Ambassador. For purposes of this Agreement, Proprietary Information shall mean, by way of illustration and not limitation, all information, whether or not in writing, whether or not patentable and whether or not copyrightable, of a private, secret or confidential nature, owned, possessed or used by KFKF, concerning KFKF’s business, business relationships or financial affairs, including, without limitation, any Invention, formula, vendor information, customer information, apparatus, equipment, trade secret, process, research, report, technical or research data, clinical data, know-how, computer program, software, software documentation, hardware design, technology, product, processes, methods, techniques, formulas, compounds, projects, developments, marketing or business plan, forecast, unpublished financial statement, budget, license, price, cost, customer, supplier or personnel information or employee list that is communicated to, learned of, developed or otherwise acquired by the Brand Ambassador in the course of Brand Ambassador’s service as a Brand Ambassador to KFKF.

    • The Brand Ambassador agrees that all files, documents, letters, memoranda, reports, records, data sketches, drawings, models, laboratory notebooks, program listings, computer equipment or devices, computer programs or other written, photographic, or other tangible material containing Proprietary Information, whether created by the Brand Ambassador or others, which shall come into Brand Ambassadors custody or possession, shall be and are the exclusive property of KFKF to be used by the Brand Ambassador only in the performance of Brand Ambassador's duties for KFKF and shall not be copied or removed from the KFKF’s premises except in the pursuit of the business of KFKF. All such materials or copies thereof and all tangible property of KFKF in the custody or possession of the Brand Ambassador shall be delivered to KFKF, upon the earlier of (i) a request by KFKF or (ii) the termination of this Agreement. After such delivery, the Brand Ambassador shall not retain any such materials or copies thereof or any such tangible property.

    • The Brand Ambassador’s obligations under this Section shall not apply to any information that (i) becomes known to the general public under circumstances involving no breach by the Brand Ambassador Agreement or others of the terms of this Section, (ii) is generally disclosed to third parties by KFKF without restriction on such third parties, or (iii) is approved for release by written authorization of an officer of KFKF.The Brand Ambassador agrees that Brand Ambassador’s obligation not to disclose or to use information and materials of the types set forth in paragraphs above, and Brand Ambassador's obligation to return materials and tangible property set forth in paragraph (4) above extends to such types of information, materials and tangible property of customers of KFKF or suppliers to KFKF or other third parties who may have disclosed or entrusted the same to KFKF or to the Brand Ambassador.

    • The Brand Ambassador acknowledges that KFKF from time to time may have agreements with other persons or with the United States Government, or agencies thereof, that impose obligations or restrictions on KFKF regarding inventions made during the course of work under such agreements or regarding the confidential nature of such work. The Brand Ambassador agrees to be bound by all such obligations and restrictions that are known to the Brand Ambassador and to take all actions necessary to discharge the obligations of KFKF under such agreements.

    Other Terms

    Entire Agreement: This Agreement constitutes the entire agreement between the parties. No modification or amendment of this Agreement shall be effective unless in writing and signed by both parties.

    Invalidity or Severability: If there is any conflict between any provision of this Agreement and any law, regulation or decree affecting this Agreement, the provisions of this Agreement so affected shall be regarded as null and void and shall, where practicable, be curtailed and limited to the extent necessary to bring it within the requirements of such law, regulation or decree but otherwise it shall not render null and void other provisions of this Agreement.

    Counterparts: This Agreement may be executed in counterparts, each of which shall be deemed to be an original, and all of which, taken together, shall constitute one and the same agreement. Digital and/or electronic signatures shall have the same force and effect as manual (or “wet”) signatures.

    Governing Law and Venue: The laws of the State of California, excluding California’s conflict of laws rules, shall apply to any disputes arising out of or relating to this Agreement. This Agreement is entered into in Los Angeles, California. The Parties expressly consent to personal jurisdiction in Los Angeles County, California

    Amendments: No amendment of any provision of this Agreement shall be valid unless the same shall be in writing and signed by each party.

    Non-Solicitation: During the Service Period and for a period of [six (6) months] thereafter, the agreement shall not, either alone or in association with others, (a) solicit, or permit any organization directly or indirectly controlled by the contract to solicit, any employee of KFKF to leave the employment of KFKF, or (b) solicit or permit any organization directly or indirectly controlled by the Brand Ambassador to solicit any person who is engaged by KFKF.

    Use of Subcontractors: The Brand Ambassador may use trusted contractors to complete components of the Brand Ambassador’s obligations hereunder, provided that the Brand Ambassador shall remain solely responsible for such contractors’ performance, that KFKF shall have no obligation to such contractors and the use of such contractors shall not cause any increase in fees, costs or expenses that would otherwise be payable hereunder.

    Force Majeure: Neither party will be liable for any failure or delay in its performance under this Agreement due to any cause beyond its reasonable control, including acts of war, acts of God, earthquake, flood, fire, embargo, riot, sabotage, or failure of third party power or telecommunications networks, provided that the delayed party: (a) gives the other party prompt notice of such cause and (b) uses its reasonable commercial efforts to promptly correct such failure or delay in performance.

    Arbitration: Any unresolved controversy or claim arising out of or relating to this Agreement, except as (i) otherwise provided in this Agreement, or (ii) any such controversies or claims arising out of either party’s intellectual property rights for which a provisional remedy or equitable relief is sought, shall be submitted to arbitration by one arbitrator mutually agreed upon by the parties, and if no agreement can be reached within thirty (30) days after names of potential arbitrators have been proposed then by one arbitrator having reasonable experience in corporate finance transactions of the type provided for in this Agreement and who is chosen by KFKF. The arbitration shall take place in California, in accordance with effect, and judgment upon any award rendered in such arbitration will be binding and may be entered in any court having jurisdiction thereof. The prevailing party shall be entitled to reasonable attorney’s fees, costs, and necessary disbursements in addition to any other relief to which such party may be entitled.

    Moral Clause: If either party hereto or any of its officers, directors, board members, principals, employees, agents, or representatives commits any act which, in the reasonable and good faith opinion of the other party, would disparage or impair the reputation and integrity of the other party hereto (including, without limitation, being convicted of any felony or a crime involving moral turpitude, ethical violations or any other act of moral turpitude), the other party hereto shall have the right to terminate this Agreement without liability to the other party upon thirty (30) days written notice.

    Ethics Clause: By signing and entering into this agreement with KFKF, the Brand Ambassador represents that it is familiar with all applicable ethics law requirements and certifies that it is in compliance with such requirements. The brand ambassador understands that failure to comply with the ethics laws is, in itself, grounds for termination of this contract and may result in the loss of other contracts with KFKF.

    Non-Disclosure Agreement

    1. Confidential Information. The term “Confidential Information” as used in this agreement shall mean any data or information that is competitively sensitive material and not generally known to the public, including, but not limited to, information relating to any of the following: product development and plans, marketing strategies, business plans, present or future business activities/opportunities, data, finances, operations, supplier relationships, supplier list/profile, customer relationships, customer profiles, pricing, sales estimates, performance results, reports, technical information, trade secrets, samples of products, intellectual property, including but not limited to media, photos, artwork, concepts and any other inform the Company considers confidential.

    2. Exclusions from Confidential Information. The obligation of confidentiality with respect to Confidential information will not apply to any of the information:

    1. If the information is or becomes publicly known and available other than as a result of prior unauthorized disclosure

    2. If the information is or was received by the Individual from a third-party source which , to the best knowledge of the Individual, is or was not a confidentiality obligation to the Company with regards to such information.;

    3. If the information is disclosed with the Company’s prior written permission and approval;

    4. If the information is independently developed by the Individual prior to disclosure by the

    5. Company and without the use and benefits of any of the Company’s Confidential Information; or

    6. If the Individual may disclose only such portions of the Confidential Information which is legally obligated to disclose. The Individual is legally compelled by applicable law, by any court, governmental agency, or regulatory authority or subpoena or discovery request in pending litigation, but only if, to the extent lawful, the Individual give prompt written notice of that fact to the Company prior to disclosure so that the Company may request a protective order or other remedy, the Individual may disclose only such portion of the Confidential Information which is legally obligated to disclose.

    3. Obligation to Maintain Confidentiality. With respect to Confidential Information:

    1. The Individual agrees to retain the Confidential Information in strict confidence, to protect the security, integrity, and confidentiality of such information and to not permit unauthorized access to or unauthorized use, disclosure, publication, or dissemination of Confidential Information except in conformity with this Agreement

    2. Confidential Information is and will remain the sole and exclusive property of the Company and will not be disclosed or revealed by the Individual, except to other Individuals of the Company who have a need to know such information and agree to be bound by the terms of this Agreement.

    3. The Individual agrees that, in the event the Individual must download, access, process, transfer or otherwise communicate Confidential Information, the Individual will comply with all laws or indirectly, export or re-export any Confidential Information in violation of such laws and regulations, including without limitations. Those prohibiting export or re-export to restricted countries or without governmental authorization.

    4. The obligation not to disclose Confidential Information shall survive the termination of this Agreement, and at no time will the Individual be permitted to disclose confidential information except to the extent that such Confidential Information is excluded from the obligations of confidentiality under the Agreement pursuant to Paragraph 2 above.

    4. Disclaimer. There is no representation or warranty, express or implied, made by the Company as to the accuracy or completeness of any of its Confidential Information.

    5. Remedies. The Individual acknowledges that use or disclosure of any Confidential Information in a manner inconsistent with this Agreement will give rise to irreparable injury for which damages would not be an adequate remedy, Accordingly, in additional to any other legal remedies which may be available at law or in equity, the Company shall be entitled to equitable or injunctive relief against the unauthorized use or disclosure of Confidential Information. The Company shall be entitled to pursue any other legally permissible remedy available as result of such breach, including but not limited to damages, both direct and consequential. In any action brought by the Company under this Section, the Company shall be entitled to recover its attorney’s fees and costs from the Individual.

    6. Amendment. This agreement may be amended or modified only by a written agreement signed by both parties.

    7. Jurisdiction. This agreement will be governed by and construed in accordance with the laws of the State of California, without regard to the principles of conflict of laws. Each party consents to the exclusive jurisdiction of the courts located in the State of California for any legal action, suit or proceeding arising out of or in connection with this Agreement. Each party further waives any objection to the laying of a venue for any such suit, action or proceeding in such courts.

    8. No Offer or Sale. Nothing in this agreement will be deemed a sale or offer for sale of Confidential Information nor obligate the Company to grant the Individual a license or any rights, by statute, common law theory of estoppel or otherwise, to Confidential Information.

    9. Assignment. Neither party may assign its rights or delegate its duties under this Agreement.

    10. Other terms. Entire Agreement: This Agreement constitutes the entire agreement between the parties. No modification or amendment of this Agreement shall be effective unless in writing and signed by both parties.

    1. Invalidity or Severability: If there is any conflict between any provision of this Agreement and any law, regulation or decree affecting this Agreement, the provisions of this Agreement so affected shall be regarded as null and void and shall, where practicable, be curtailed and limited to the extent necessary to bring it within the requirements of such law, regulation or decree but otherwise it shall not render null and void other provisions of this Agreement

    2. Counterparts: This Agreement may be executed in counterparts, each of which shall be deemed to be an original, and all of which, taken together, shall constitute one and the same agreement. Digital and/or electronic signatures shall have the same force and effect as manual (or “wet”) signatures.

    3. Governing Law and Venue: The laws of the State of California, excluding California’s conflict of laws rules, shall apply to any disputes arising out of or relating to this Agreement. This Agreement is entered into in Los Angeles, California. The Parties expressly consent to personal jurisdiction in Los Angeles County, California.

    IN WITNESS WHEREOF, the Parties have caused this Agreement to be executed by their duly authorized representatives. Each Party certifies that it has freely, knowingly and voluntarily entered into this Agreement. Each Party’s electronic signature below demonstrates that Party’s clear intent to be bound by the terms of this Agreement.
